Terms of Service

01 Introduction

Zentriva Systems SIA is a company registered in Latvia (registration number 50203752861), with its registered office at Klijānu iela 7 k-2 – 1, Rīga, LV-1012. These Terms apply to all visitors and clients. Specific engagements may be governed by an additional written agreement or proposal, which prevails over these Terms where there is a conflict.

02 Our services

We provide performance marketing and pay-per-click (PPC) services, currently offered as three packages:

• PPC Express — €300, one-time setup of a single search campaign with 7 days of monitoring.
• Core Traffic Engine — €750, search + display + retargeting setup with 30 days of management.
• E-Commerce Scale — €1,500, shopping campaigns, advanced analytics and 30 days of dedicated management.

The exact deliverables of each package are described on the relevant service page and in any proposal we provide.

03 Scope & advertising budgets

Our fees cover the setup and management work described for each package. Advertising budget (media spend) is not included in our fees. Ad spend is paid by you, typically directly to the advertising platform on accounts that you own and control. We do not guarantee specific results, rankings, conversion volumes, or return on ad spend, as these depend on factors outside our sole control (market conditions, competition, budgets, platform policies and your own offering).

04 Fees & payment

• Fees are quoted in euros (EUR) and are due as set out in your proposal or invoice.
• Setup fees are generally payable before work begins; management fees as agreed.
• Late payments may result in suspension of services until settled.
• Unless stated otherwise, fees are exclusive of any applicable taxes.

05 Client responsibilities

To deliver effectively, we rely on you to:

• Provide timely, accurate information and any access we need (e.g. ad accounts, analytics, product feeds).
• Ensure your website, products and claims comply with applicable laws and platform policies.
• Fund and maintain your own advertising accounts and media budgets.
• Review and approve materials within reasonable timeframes.

Delays in providing access, approvals or budgets may affect timelines and outcomes.

06 Timelines

Setup timelines stated for each package (3–5, 7–10, or 14–18 business days) are good-faith estimates that begin once we have received all required access, information and any due payment. They may vary based on the complexity of your account and your responsiveness.

07 Intellectual property

Campaign assets and configurations we create for you within your owned accounts are yours to keep on full payment. We retain ownership of our underlying methods, templates, know-how and any pre-existing materials. This website's design, content and branding remain the property of Zentriva Systems SIA.

08 Third-party platforms

Our services operate on third-party platforms such as Google Ads, Microsoft Advertising and Meta. Your use of those platforms is subject to their own terms and policies. We are not responsible for changes, outages, account suspensions or decisions made by these platforms.

09 Limitation of liability

To the maximum extent permitted by law, Zentriva is not liable for indirect, incidental or consequential losses, lost profits, or lost revenue arising from the use of our services. Our total aggregate liability for any claim is limited to the fees you paid us for the specific service giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded under applicable law.

10 Term & termination

Either party may terminate an engagement as set out in the applicable proposal, or with reasonable written notice where no period is specified. Fees for work performed up to termination remain payable. We may suspend or terminate access for breach of these Terms, non-payment, or unlawful or abusive use.

11 Governing law

These Terms are governed by the laws of the Republic of Latvia. Any disputes shall be subject to the jurisdiction of the competent courts of Latvia, without prejudice to any mandatory consumer protection rights you may have.
